Administrative Responsibility

Legislative decree number 231 of June 8th 2001 introduced rules and regulations governing the administrative responsibility of Companies.
These rules and regulations state that Companies can be held responsible, and consequently be subject to sanctions, for any offences committed or any attempts to commit offences in the interests or to the advantage of the Company itself by the Company’s directors or employees.
The Companies have to adopt and effectively implement organisation, management and control models which are adequate to prevent the offences (“Modello” Model).
In the meeting of February 11th 2005, the Vitali Board of Directors approved the “Organisation, Management and Control Model, ex legislative decree number 231 of 2001” (Rules and regulations governing the administrative responsibilities of legal entities, companies and associations without corporate standing) and established a "Watch Structure".
