Social
responsibility is an integral part of a company
and the business it performs. In
this respect, Vitali has always aimed
at combining competitiveness with
sustainability.
Social responsibility, in fact, represents
a challenge that sees the company pursuing
growth, innovation and results. At the same
time, it pays maximum attention to promoting
quality of life, working standards, human
rights and eco-compatible development, thus
demonstrating its capacity to interact with
the previously mentioned social and environmental
issues.
This commitment can also be found in the managerial
principles, policies and behaviours adopted
by Vitali and which are aimed at making the
most of creativity and innovation in order
to favour a "sustainable culture",
thus strengthening the shareholders’
trust in the company.
The reasoning behind this approach, also referred
to in company policy, is in fact to continuously
strengthen company assets and develop
human resources, relationships and
social benefits. In this way, the company
is investing in the competitiveness and longevity
principles provided for by the Code of Conduct,
in full compliance with national legislation,
conventions and sector guidelines.
In 2005, Vitali published 'Responsabilità
d'impresa e valori - comportamenti'
(Company responsibilities and values –
conduct) conduct for communicating company
sustainability and responsibility objectives. |

ADMINISTRATIVE
RESPONSIBILITIES
|

|
Legislative
decree n. 231 of 8th June 2001
introduced rules and regulations governing
the administrative responsibility of companies.
These rules and regulations state that companies
can be held responsible, and consequently
be subject to sanctions, for any offences
committed or any attempts to commit offences
in the interests or to the advantage of the
company itself by the company’s directors
or employees..
The company can, however, adopt and effectively
implement organisation, management and control
models which are adequate to prevent the offences.
In the meeting of 11th February 2005,
the Vitali Board of Directors approved the
"Organisation, Management and
Control Model, ex legislative decree n. 231
of 2001" (Rules and regulations
governing the administrative responsibilities
of legal entities, companies and associations
without corporate standing) and established
a "Watch Structure".

The Code
of Ethics was created for the
purpose of sanctioning and divulging behavioural
principles and standards that Vitali S.p.A.
retains as being fundamental for its activities.
Vitali S.p.A. has formulated a
company organisational model
suitable for managing company exposure
in an increasingly efficient manner and
has sent a document to all those concerned
containing the main points of
the company’s code of ethics
on which its activities are based.
The Code of Ethics is Vitali’s "Company
Statute", i.e., a document
of rights and moral duties that defines
the ethical-social responsibilities
of all those involved in the
company organisation.
The
Code of Ethics is an effective
means of preventing irresponsible or illegal
behaviour by those working in
the name and on behalf of the Company.
It contains a clear and explicit definition
of ethical and social responsibilities
towards all those directly or indirectly
involved in the Company’s activities
(clients, suppliers, shareholders, the
public, employees, collaborators, public
institutions, environmental associations
and any others affected by the activities
of the Company).

Those to whom the Code of Ethics is addressed
are consequently called-upon to comply
with the values and principles contained
in it, and must behave in a manner
that safeguards the respectability and image
of Vitali S.p.A. as well as the integrity
of its economic and human assets.
